1. About these terms.
1.1. What these terms cover. These are the terms and conditions on which you may take part in our Ooni referral program (the "Referral Program").
1.2. Why you should read them. Please read these terms carefully before you agree to take part in the Referral Program. They tell you who we are, how the Referral Program works, how we may change or end Referral Program, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us to discuss.
2. Information about us and how to contact us
2.1. Who we are. We are Ooni Inc, a corporation registered Delaware.
Our parent company is Ooni Limited, registered in England and Wales. Ooni Limited's registration number is 08316049 and our registered office is at Walderslade Accounting Services, 105 Hopewell Business Centre Unit 20, Hopewell Drive, Chatham, Kent, ME5 7DX. Our place of business is at Ooni HQ, Bishopsgate Business Park, 189 West Main Street, Broxburn, EH52 5LH.
2.2. How to contact us. You can contact us via our support portal, or by writing to us at support@ooni.com, or by mail to our business office at Ooni HQ, Bishopsgate Business Park, 189 West Main Street, Broxburn, EH52 5LH.
2.3. How we may contact you. If we have to contact you we will do so by telephone or by writing to you at the email address or postal address you provided to us:
(a) where you are an "existing customer" (as defined below), when you completed the online form referred to in clause 4 below; or
(b) where you are a "friend" (as defined below), who has been referred to Ooni by an existing customer when you provide your details to us on ooni.com (if you do so).
3. The Referral Program
3.1. What the Referral Program allows you to do. The Referral Program allows any eligible existing customer of Ooni (an "existing customer") to refer a friend or family member (a "friend") to the ooni.com online store.
3.2. What you get if you are referred by an existing customer. If you are referred to us by an existing customer between 18 and 20 November 2022, you will receive a discount code for 20% off your first purchase from the ooni.com online store (a "20% Referral Code"), subject to these terms and conditions (in particular, clause 6 below).
3.3. What you get for referring a friend. If you refer a friend and that friend spends more than $200 on their first purchase at ooni.com between 18 and 28 November 2022, we will give you a referral voucher for $20 (a "Referral Voucher") which you can apply towards purchases on ooni.com. To be clear, only the value of your friend's first purchase on ooni.com will be taken into account when determining whether you are eligible for a Referral Voucher.
3.4. Who is eligible to take part. Only residents of the US who are eighteen years of age or older are eligible to participate in the Referral Program. You cannot refer a friend or be referred by an existing customer if you do not meet these eligibility criteria.
4. How to refer a friend
If you are an existing customer you may refer a friend as follows:
(a) visit https://ooni.com/pages/rewards-program-page;
(b) click on the 'referral program' button and follow the steps to receive your unique referral link;
(c) share your unique referral link with your friends;
(d) each friend that uses your unique referral link will have their 20% Referral Code automatically applied to their first purchase on ooni.com;
(e) if a friend that you have referred makes a qualifying purchase of more than $200 you will receive an email with your Reward Voucher to the email address that you supplied to us when you generated your referral link (pursuant to paragraph (b) above).

(c) share your unique referral link with your friends;
(d) each friend that uses your unique referral link will have their 20% Referral Code automatically applied to their first purchase on ooni.com;
(e) if a friend that you have referred makes a qualifying purchase of more than $200 you will receive an email with your Reward Voucher to the email address that you supplied to us when you generated your referral link (pursuant to paragraph (b) above).
5. If you're referred by an existing customer
5.1. If you are referred to us by an existing customer. If you are referred to us as an existing customer, and you chose to take part in the Referral Program by using your 20% Referral Code, we will assume that you have read and agreed to these terms and conditions and that you meet the eligibility criteria set out in clause 3.4 above.
5.2. Your personal data. In addition to the provisions set out in clause 11 below (and to the terms of our Privacy Policy which is referred to in clause 11), you agree that we may notify the existing customer that referred you to us of your purchase (or lack thereof).
6. Restrictions on use
6.1. Restrictions on use. You must not publicly post any unique referral link online. If we suspect (in our sole and absolute discretion) that you are abusing the Referral Program we may determine that you are no longer eligible to take part in the program and we may cancel any Referral Vouchers that have been provided to you, or 20% Referral Codes that have been issued to you or your friends (as applicable).
6.2. Abusive practices. If we determine that you have breached these terms and conditions, or abused the Referral Program you will be required to pay back the value of the discount that you received by using your 20% Discount Code or Referral Voucher (as applicable) and have any such codes or vouchers canceled.
6.3. Availability of the Referral Program. The 20% Referral Code is only available between 18 November 2022 and 20 November 2022. The Referral Voucher is only available between 18 November and 28 November 2022.
7. Terms applying to the 20% Referral Code and Referral Voucher
7.1. Terms applying to the 20% Referral Code. The 20% Referral Code is available for one-time use only. It can only be used on a friend's first purchase at ooni.com and will not be valid if that friend has already purchased a product from ooni.com (whether for themselves or otherwise). It cannot be used to purchase bundled products, or in conjunction with any other discount code that a friend may have, or promotional offer that we may be running. It may also be subject to such additional terms and conditions as we may publish on our website from time to time.
7.2. Terms applying to the Referral Voucher. The Referral Voucher is available for one-time use only. It cannot be used to purchase bundled products, or in conjunction with any other discount code that you may have, or promotional offer that we may be running. It cannot be redeemed for cash. It may also be subject to such additional terms and conditions as we make publish on our website from time to time.
8. General terms and conditions
Other than as set out in these terms and conditions, any purchases made through ooni.com (including purchases made using 20% Referral Codes and/ or Referral Vouchers) are subject to our general terms and conditions of sale which can be found at https://ooni.com/pages/terms-and-conditions.

9. Your rights
Your statutory rights and your rights under our general terms and conditions of sale. Your participation in the Referral Program does not prevent you from exercising any of your rights under our general terms and conditions of sale and does not affect any statutory rights you may have, including your rights under the Consumer Rights Act 2015.

10. Our responsibility for loss or damage suffered by you
10.1. We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is obvious that it will happen.
10.2. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for:
(a) death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors;
(b) fraud or fraudulent misrepresentation; or
(c) breach of your legal rights in relation to the products, including the right to receive products which are of satisfactory quality and fit for purpose.
10.3. We are not liable for business losses. The Referral Program is only available for products for domestic and private use. You may not use the Referral Program for any commercial, business or resale purpose. If you do use the Referral Program for such a purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
11. How we may use your personal information
11.1. How we will use your personal information.
(a) We will use the personal information you provide to us:
(i) to assess your eligibility for the Referral Program;
(ii) to provide any 20% Discount Code to you;
(iii) to provide any Referral Voucher to you;
(iv) to enforce our rights under these terms and conditions; and
(v) if you agreed to this during the referral process, to give you information about similar products that we provide, but you may stop receiving this at any time by contacting us.
(b) In addition, if you purchase a product from us, we will use the personal information you provide to us for the purposes set out in our general terms and conditions (referred to in clause 8 above).
(c) We will only give your personal information to third parties where the law either requires or allows us to do so.

12. Our right to amend these terms
We may update, modify, suspend or terminate these terms and conditions at any time, in our sole and absolute discretion, or end the Referral Program, by amending these terms and conditions and posting a notification on https://ooni.com/pages/terms-and-conditions.
13. Other important terms
13.1. We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organization. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.
13.2. You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.
13.3. Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.
13.4. If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
13.5. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
13.6. Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.
